KUALA LUMPUR (Nov 25): Serba Dinamik Holdings Bhd has appointed two new independent directors, a day after announcing that its chairman and an independent director have resigned in protest against requirements imposed on the group by Bursa Malaysia.

The oil and service provider has appointed Bintai Kinden Corp Bhd deputy CEO Noor Azri Noor Azerai and accountant Abu Bakar Uzir to sit on its board, according to its bourse filing on Thursday.

Noor Azri will also join Serba Dinamik’s newly named chairman and independent non-executive director Datuk Seri Mohamed Faird Abu Hassana, non-independent non-executive director Datuk Abdul Kadier Sahib and independent non-executive director Siti Zaleha Sulaiman as members of the group's nomination and remuneration committees.

Meanwhile, Abu Bakar will sit in the group's audit and risk committee, which currently counts non-independent non-executive director Datuk Abdul Kadier Sahib and independent non-executive director Siti Zaleha Sulaiman as members.

On Wednesday, Serba Dinamik announced the resignations of chairman and independent non-executive director Datuk Mohamed Ilyas Pakeer Mohamed and independent director Johan Mohamed Ishak  from its board, less than six months after they joined the board.

In their resignation letters dated Nov 22 to Serba Dinamik's board, the duo stated that the requirements imposed by Bursa Malaysia on the group had prohibited them from fairly discharging their duties as independent directors.

Noor Azri is currently a director of  mechanical and electrical engineering company Bintai Kinden — of which he is also the deputy CEO — and timber manufacturing and trading company NWP Holdings Bhd.

According to Serba Dinamik's filing, the 22-year-old graduated from the London Institute of Banking and Finance this year with internship experiences in equity capital markets and commodity derivatives during his time at M&A Securities Sdn Bhd and Maybank Investment Bank Bhd.

Abu Bakar, on the other hand, is a 20-year industry veteran in finance and accounting. The filing showed that he is a chartered accountant and chartered tax practitioner, under the Malaysian Institute of Accountants and Chartered Tax Institute of Malaysia, respectively.

He had graduated from Universiti Utara Malaysia and is currently a director of Abbaz Advisory Sdn Bhd, which had previously assisted the Federal Territories Islamic Religious Council’s financial statements of all mosques and Friday surau in the state between 2014 and 2016, said Serba Dinamik.

The group said Noor Azri does not hold any shares in Serba Dinamik while Abu Bakar holds a direct interest in the oil and gas outfit with one million shares.
